Terms of Use
Ktiva Biomedical (hereinafter: "The Company") congratulates you upon your visit to its website. The Company offers the service (hereinafter: "Service") at the website www.ktivabio.com (hereinafter: "The Website" and/or the "Company's Website") subject to the terms of use (hereinafter: "The Terms"). The terms "User" hereinafter implies every person and/or corporation that initiates contact or makes contact with the Website. The term "Products" hereinafter means types of written products including grant applications, research proposals, research protocols, articles submitted to journals, applications for the approval of the Helsinki Committee and statistical processing and including consultation regarding the preparation of these written materials and consulting in the field of bio-medical research. The Terms of Use refer to both genders – the masculine pronoun is used for convenience sake. Regarding The Company's privacy policy that deals with gathering information during the time the User is visiting the Website and/or when the User receives Service in the Website – see Privacy Policy Section.
Dear User: the use of the Company's Website is dependent upon reading, understanding and agreeing to the terms specified hereunder:
The Terms:
A. The Company operates this Website as a Service to the community of Users in the internet. The Website was created and designed for the purpose of providing general information regarding the Company, its products and services. The Website, including links to third party websites, is not intended to provide consultation and/or guidance and/or explicit instructions for independent learning and/or independent writing of products. The Service offered in the Website is intended to help the User by providing him general, initial information that is not binding.
B. The Service and/or the Products presented in the Company's Website should not be viewed as a complete work ready for submittal to an academic institute and/or a replacement to an independent academic research work performed by the Client.
C. You may not use any Service offered by the Company in the Website and/or the Products provided by the Company for the purpose of violating research ethics and norms that are customary in academic institutions in Israel and/or other academic institutions.
D. The Service is provided to the user "as is." The Company is not able to ensure that all the materials contained within the framework of the Service shall be free from mistakes, errors, misprints and imprecision. The Company shall not be liable and/or responsible directly or indirectly for every error, mistake, omission, erasure, or flaw in the content of the Website and the information provided by the Company. The company shall not take responsibility for every action that was taken and based upon the information contained within the Website and the changes performed by the User and/or a third party in the materials contained in the Website thereof.
The User alone shall incur the responsibility for the manner in which he makes use of the Service provided.
E. The Service provided in the Website does not obligate the Company, including its employees and representatives, or create rights that are entitled in the instructions of every law. Every business attachment that is made with the User in the Website is subject to and dependent absolutely upon the signature of the Client and his representatives on the Business Attachment Agreement (hereinafter: "Business Attachment") that is for the purpose of purchasing Service from the Company.
F. The copyright in the Company's publications, including publications published in this Service, belong to the Company. These copyrights include, inter alia, text, images, drawings, tables, charts and software applications (hereinafter: "Protected Materials"), unless it has been explicitly stated that copyrights in the Protected Materials belong to another entity. Every unauthorized use of the Protected Materials could constitute an infringement of copyright, trademarks as well as relevant laws and regulations.
G. The Website has links (hereinafter: "Links") to extraneous websites that do not belong to the Company (hereinafter: "Third Party Websites"). The links are provided for the User's convenience only. The User may not consider any material presented in the Website as an entitlement to use any kind of intellectual property that belongs to a third party (including but not limited to copyright, trademarks, registered marks or a trade secret). The information presented and any other linked information is not published by the Company, on its behalf with its encouragement or its consent. Links to Third Party Websites should not be considered as a recommendation or a prioritization on behalf of the Company including its employees and representatives to the linked websites, including documents contained therein as well as the website operators, its products or the services provided therein. The order by which the links in the Website appear does not attest necessarily to the quality or importance of the websites associated with these links. The content of Third Party Websites might change and be updated often. The Company shall make an effort to update the description of Third Party Websites in the Company Website in a manner that is as precise and complete as possible. Still, the Company is not able to ensure that the description contained in its Website is the most accurate, appropriate and updated. In any event and in accordance with the applicable law, the Company shall not be responsible for every financial loss or other that shall be incurred to the User following reliance on the information that appears in Third Party Websites to which the User arrived using the Service and the Links.
H. The Company, including its employees and representatives, shall not incur any responsibility and shall not be exposed to any claim for every direct/indirect, incidental, causal and/or penal damage and/or loss including every failure in the execution, failure, delay in operation or broadcast, a failure in the communication line, computer virus, omission, interference, erasure, theft or destruction of records, unauthorized access to records that stem from a visit to the Website, using it and/or its content and/or due to a visitation by the User in Third Party Websites.
I. The Company intends to respond to the User's queries (via info@ktivabio.com) within 24 hours following the receipt of the aforesaid query in the computers of the Company. The Company shall respond to this query only via electronic mail to the electronic mail address of the User and/or via telephone to the phone number specified to it. The Company shall make all the efforts in order to realize this intention. Nevertheless, the realization of this intention is subject to the orderly and normal conditions of the Company's communication resources (including email communications), the availability of its employees and the nature of the query. Every query to the Company regarding the realization of the Business Attachment with its Clients shall be made only in accordance with the agreed in the Business Attachment Agreement between the Company and the Client and the content of the foregoing section, namely, "Terms of Use" is not valid regarding the Business Attachment as stated. Nevertheless, the time of the response might exceed 24 hours and it shall be subject exclusively to the decision of the Company. The Company, including its employees and representatives shall not incur any responsibility and shall not be exposed to any claim for every direct/indirect, incidental, causal and/or penal damage and/or loss due to the Company's inability to respond to the User's query in the Website within 24 hours following the receipt of the query in the computers of the Company.
J. The Company is entitled to change any time the layout of the Website including the Service, its appearance, extent and availability of the Service provided therein and any other aspect included - and this without providing information regarding the performance of the update and its content. The User shall have no objection, claim and/or demand towards the Company due to the changes that were performed as stated and/or malfunctions that will occur following the performance/lack of performance thereof. All of the changes specified in the terms shall appear "as is" in the Company Website in this page. When the User enters the Company Website and/or makes use of the Website after changes in the Terms were made, he acknowledges that these changes oblige him without restriction.
K. If the Website did not make use of the right entitled to it in a certain event, in accordance with the foregoing Terms, this should not be considered a waiver of this right in that event and/or any other similar or dissimilar event and no waiver should be inferred thereof regarding any right of the Website or its representatives.
L. The name "Ktiva Biomedical" and the registered trademarks of "Ktiva Biomedical" (whether they were registered and whether they were not), - are the sole property of "Exigo Business Solutions Inc." They should not be used without its written notice issued in advance.
M. The Terms of Use and the use of the Website are exclusively subject to the Israeli law. The competent court shall be the competent court in the city of Tel Aviv-Yafo exclusively.
